TERMS OF USE.

IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS DETAILED IN THE WAIVER OF ARBITRATION AND CLASS ACTION SECTION BELOW. PLEASE READ CAREFULLY.

ACCEPTANCE OF THESE TERMS

This Terms of Use Agreement (“Terms"), including the BINDING ARBITRATION AND THE CLASS DISCLAIMER OF ACTION CONTAINED HEREIN govern your access, use and participation in the Platform made available by Cross Referral Inc. (“Cross Referral Inc"), “we" “our" or “we") or through Cross Referral Inc and your entire relationship with Cross Referral Inc. As detailed in eligibility, SERVICE MEMBERS ‘REPRESENTATIONS, WARRANTIES AND USE OF THE SECTION PLATFORM BELOW, IF YOU ARE A MEMBER OF THE SERVICE, YOU UNDERSTAND AND AUTHORIZE CROSS REFERRAL INC TO USE YOUR INFORMATION TO OBTAIN BACKGROUND CHECKS AND SALES CREDIT CHECKS FROM THE SELLER AND THE SELLERS OF THE LEAVE SERVICE. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU CANNOT ACCESS OR USE THE PLATFORM. MODIFICATIONS

Cross Referral Inc reserves the right, in its sole discretion, to modify these Terms and any other document incorporated by reference in this document, at any time and without prior notice. Cross Referral Inc will notify you of changes by posting Cross referral Inc’s Terms of Use website, sending you a message and / or notifying you when you log into your account. The modifications will become effective thirty (30) days after the first of the following: (a) modifications published on the Platform; (b) the transmission by Cross Referral Inc of a message about the modifications; or (c) you are notified when you log into your account. Your use of the Platform after the expiration of thirty (30) days will constitute your consent to the changes. If you do not agree, you cannot access or use the Platform.

ADDITIONAL TERMS AND POLICIES

Please review the Cross Referral Inc Privacy Policy, incorporated herein by reference, for information and notices regarding the collection and use of your information by Cross Referral Inc. The provision and delivery of text messages by Cross Referral Inc or our text messaging service providers are governed by our SMS Terms and Conditions, which are expressly incorporated in this document. The Cross Referral Inc Warranty is governed by the Terms and Conditions of the Cross Referral Inc Warranty, which are expressly incorporated in this document. Please review Cross Referral Inc’s complete set of key policies governing your use of

the Platform and our interactions with you and third parties. Certain areas and / or products on the Platform may have different terms and conditions published or may require you to accept and accept additional terms and conditions or policies. If there is a conflict between these Terms and the terms and conditions or policies published for a specific area or product, the latter take precedence over the use of that area or product.

KEY TERMS

“Collective Content" means User Content and Cross Referral Content together.

“Content" refers to text, graphics, images, music, software, audio, video, information or other materials, including but not limited to profile information, requests for Pro Services, quotes, message threads, reviews, scheduling information and calendar, and other information or materials available on or through the Platform.

“Customer Member" means a Member who is registered to receive quotes from Pro Services, requests quotes from Pro Services, or uses the Platform to receive, pay, review, or facilitate receipt of Pro Services.

“Member" means a person or entity that completes the registration process for the Cross Referral Inc account or a person or entity that submits or receives a request through Cross Referral Inc, including, but not limited to, Service Members and Members of the Client.

“Platform" refers to all Cross Referral Inc websites, mobile applications or other applications, software, processes and any other services provided by Cross Referral Inc.

“Pro Services" means the services listed, quoted, scheduled, offered or provided by Service Members, or requested, scheduled or received by Customer Members, through the Platform.

“Service Member" means a Member who is registered to send quotes for Pro Services, send quotes for Pro Services or use the Platform to offer, provide, receive payments or facilitate the provision of Pro Services.

“Cross Referral Inc Content" means all Content that Cross Referral Inc makes available on or through the Platform, including any Third Party Licensed Content, but excluding User Content.

“User Content" refers to all Content sent, posted, uploaded, published, or transmitted on the Platform through the Platform by any Member or other user of the Platform, including, but not limited to, photographs, profile information, descriptions , publications, reviews, requests, messages and payments made through the Platform, but excluding Content and Comments of Cross Referral Inc.

ELIGIBILITY, REPRESENTATIONS OF THE SERVICE MEMBERS, GUARANTEES AND USE OF THE PLATFORM

Access to and use of the Platform is available only to persons who are at least 18 years of age and can form legally binding contracts under applicable law. By accessing or using the Platform, you declare and guarantee that you are eligible. By registering or using the Platform to offer, publish or provide Professional Services, Service Members declare and warrant that they, and the employees, agents, contractors and subcontractors who may perform the work for them, are suitably qualified and experienced, and licensed, certified, guaranteed and insured, as required by applicable laws or regulations to which they may be subject in the jurisdictions in which they offer their Pro Services and in relation to the specific work they perform. Service members agree to comply with all applicable laws, including the California Consumer Privacy Law, in their use of the Platform and any personal information obtained from the Platform. Cross Referral Inc is not in the business of providing professional services. Service Members understand and agree that by creating and maintaining an account on the Platform, they only receive the ability to use the Cross Referral Inc Platform to access those interested in receiving Pro Services and related tools, including, but not limited to, the Ability to send messages to those people or to schedule appointments that facilitate the provision of professional services. For example, Client Members may use the Platform to intentionally interact with Service Members regarding Pro Services. Service members understand and agree that use of the platform does not guarantee that anyone will contract them for professional services. Service members understand and agree that they are customers of Cross Referral Inc, and are not employees of Cross Referral Inc, joint ventures, partners or agents. Service members acknowledge that they set or confirm their own prices, provide their own equipment, and determine their own work hours. Cross Referral Inc does not control, and has no right to control, the services provided by a Service Member (including how the Service Member provides such services) if the Service Member is contracted by a Client Member or any other person, except as specifically specified in this document. Cross Referral Inc, as permitted by applicable law, collects service member reports, which may include a history of criminal convictions or sex offender registration, and we may limit, block, suspend, deactivate, or cancel a member’s account. service based on the results of such a checkup. As a service member, you agree and authorize us to use your personal information, such as your full name and date of birth, to obtain such reports from providers of Cross Referral Inc.

ACCOUNT REGISTRATION AND OTHER PRESENTATIONS

Users can access the Platform without registering to obtain an account. To access and participate in certain functions of the Platform, you must create a password protected account (“Account"). You can register for an account using certain third-party account and login credentials (your “Third-Party Site Password"), such as your Facebook or Google credentials. You agree to provide accurate, current and complete information during the application registration or submission process and at any other time when using the Platform, and update the information to keep it accurate, current and complete. You are solely responsible for safeguarding your Cross Referral Inc password and, if applicable, the password for your third party site. You are solely responsible for all activity that occurs on your Account, and you will notify Cross Referral Inc immediately of any unauthorized use. Cross Referral Inc is not responsible for losses of any party caused by unauthorized use of your Account. Notwithstanding the foregoing, you may be liable for losses of Cross Referral Inc or others due

to such unauthorized use. Your account is not transferable except with the written permission of Cross Referral Inc and in accordance with the policies and procedures of Cross Referral Inc.

YOUR LICENSE TO USE THE PLATFORM

Subject to your compliance with these Terms, Cross Referral Inc grants you a limited, non- exclusive, revocable, non-transferable and non-sublicensable license to reproduce and display Collective Content (excluding any software source code) solely for your personal, non- commercial use and only in relation to your access and participation in the Platform. You will not use, copy, adapt, modify, prepare derivative works based on, distribute, license, sell, transfer, publicly display, publicly perform, transmit, or otherwise exploit the Platform or the Collective Content, except as expressly permitted herein. terms. The Platform and the Collective Content are provided to you AS IS. If you download or print a copy of the Collective Content for personal use, you must retain all copyright and other proprietary notices contained therein. You are not granted licenses or rights by implication or otherwise under any intellectual property rights owned or controlled by Cross Referral Inc or its licensors, except for the licenses and rights expressly granted in these Terms.

USER CONTENT

We may, at our sole discretion, allow you to post, upload, post, send or transmit User Content. By making any User Content available on or through the Platform, you grant Cross Referral Inc a worldwide, irrevocable, perpetual, non-exclusive, transferable and royalty-free license, with the right to sub-license, use, copy, adapt , modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, access, view and exploit such User Content on, through, to promote, market or advertise the Platform or Pro Services , or for any other purpose at our sole discretion, except that the content of private messages through the Platform will not be used by Cross Referral Inc in public advertising. You acknowledge and agree that you are solely responsible for all User Content that you make available on or through the Platform. Accordingly, you represent and warrant that: (a) you are the sole and exclusive owner of all User Content that you make available on or through the Platform or you have all the rights, licenses, consents and releases necessary to grant to Cross Referral Inc the rights on said User Content, as contemplated in these Terms; and (b) neither the User Content nor its publication, uploading, publication, sending or transmission of the User Content or the use of Cross Referral Inc of its User Content (or any part thereof) in, through or through of the Platform will infringe, misuse or violate patents, copyrights, trademarks, trade secrets, moral rights or other intellectual property rights or property of third parties, or publicity or privacy rights, or result in the violation of any applicable law or regulation. PROHIBITIONS

Use any automated system, including but not limited to robots, spiders, offline readers, or scrapers, to access the Platform for any purpose without the prior written approval of Cross Referral Inc; as long as public search engine operators may use spiders or robots to copy materials from the Platform for the sole purpose of creating publicly available search indexes of the materials, but not caches or files of such material (Cross Referral Inc reserves the right to revoke these exceptions, either in general or in specific cases);

In any manual or automated way, copy the copyrighted text, or misuse the Information or the Content of the Platform, including, among others, the use in a duplicate, competitive or third party site;

Transmit more request messages through the Platform in a given period of time than a human can reasonably produce in the same period using a conventional online web browser;

Take any action that (a) may unreasonably hamper the infrastructure of the Platform; (b) interferes with or attempts to interfere with the proper functioning of the Platform or any participation by third parties; (c) omit the measures used to prevent or restrict access to the Platform; (d) avoids, disables or interferes with the security features of the Platform; (e) distribute viruses or any other technology that may harm Cross Referral Inc or users; (f) use the Platform in a way that violates the copyright, trade secrets or other rights of third parties, including privacy or publicity rights; or (g) avoid or manipulate the structure, billing, or fees due for the Fee (defined in this document);

As a service member, use the platform in any way that circumvents your obligation to pay Cross Referral Inc for access to the services provided by the platform;

As a service member, notwithstanding anything to the contrary contained in these Terms, “sell" any personally identifiable information (as that term is defined in the California Consumer Privacy Act), including, but not limited to, information related to the Members of the Client;

Collect, or post any personally identifiable information, including but not limited to names or other account information, from the Platform, or use the communication systems provided by

the Platform for any reason not expressly authorized by these Terms, including for purposes commercial application;

Recruit, request or contact in any way Service Members or Customer Members for employment or any other use not specifically provided by the Platform;

Take inappropriate or illegal actions, including the submission of inappropriate or illegal Content to or through the Platform, including Content that is harassing, hateful, illegal, profane, obscene, defamatory, threatening or discriminatory, or that defends, promotes or encourages activity inappropriate, conduct that would be considered a criminal offense or conduct that would create civil liability or violate any law;

Violate any key Cross Referral Inc policy governing your use of the Platform and our interactions with you and third parties;

Advertise or request an unrelated or appropriate Pro Service for the Platform, including, but not limited to, any Pro Service that (a) is not in the supported categories or only provides products; (b) provide directories or references; (c) offers loans; (d) offers rental space; (e) promotes events (such as a party or professional convention); (f) competes with the business of Cross referral Inc; (g) is based outside of the United States; (h) promotes or offers Ponzi schemes, spam, chain letters, pyramid schemes, affiliate marketing or unsolicited commercial content, discount cards, credit counseling, online surveys or contests, raffles, prizes, bonuses, games of chance or gifts; or (i) offers a Pro Service that is not reasonably available to a Client Member or another person at that Client Member’s or person’s location;

Send user content that damages the experience of any user, including, among others, (a) requests to download mobile applications and / or links other than Cross Referral Inc that direct them to duplicate websites where the user must enter information that is redundant with what you have already entered in Cross Referral Inc, (b) offers to buy a Pro Service or any other service outside Cross Referral Inc, or (c) using a profile page or username to promote services not offered in or through of the Platform; Take any action that may undermine the effectiveness or accuracy of reviews or rating systems; If you do not perform the Pro Services purchased from you as promised, unless the Client Member or someone else does not materially abide by the terms of the mutually agreed upon agreement for the Pro Services or refuses to pay, or a clear typographical error is made, or you cannot authenticate the identity of Customer Members or another person; Engaging in fraudulent conduct, including, but not limited to, offering to make money transfers with the intent to request a refund of any portion of the payment or to request users to send cash or use other payment methods prohibited by Cross Referral Inc ; Register, negotiate a price, use or otherwise request a Pro Service without the intention of continuing with your use or payment of the Pro Service; You agree to purchase a Pro Service when you do not meet the requirements of a Service Member; Undertake any activity or engage in any conduct that is inconsistent with the business or purpose of the Platform; and Try to indirectly perform any of the above.

Cross Referral Inc may allow you to make payments in the market using credit, debit or prepaid cards, by linking your bank account or by any other payment method that we support. We reserve the right to cancel your ability to make payments with one or more of the payment methods that you have authorized in our sole and absolute discretion.

If you choose your bank account as the payment method of the Market, you authorize Stripe to make withdrawals from the Automated Clearing House (“ACH”) of your bank account and make any queries that we consider necessary to validate any dispute related to the payments that we does or to a Member, which may include requesting a credit report and performing other credit checks or verifying the information you provide us with third party databases. You authorize Cross Referral Inc or its provider to initiate one or more ACH debit entries (withdrawals) or the creation of an equivalent bank draft for the specified amount of your bank account, and you authorize financial institutions that maintain your bank account to deduct such payments You also authorize the bank holding your bank account to deduct such payments from the amounts and frequency designated in your Account.

You agree to pay all of our costs for such action, including reasonable attorney fees. Federal law limits your liability for any fraudulent, erroneous, or unauthorized transaction on your bank account based on how quickly you report it to your financial institution. You must report any fraudulent, erroneous or unauthorized transaction to your bank no later than 60 days after the disputed transaction appears on your bank statement. Contact your bank for more information on the policies and procedures that apply to unauthorized transactions and the limits of your liability.

Marketplace Payment Disputes: All requests for returns, errors, claims, refunds, and payment disputes from Marketplace (“Payment Disputes") will be subject to review by Cross Referral Inc in accordance with the rules applicable to the payment method You used to make the Marketplace Payment and be in the sole discretion of Cross Referral Inc. Cross Referral Inc is not liable to you under any circumstances for payment disputes that we cannot resolve on your behalf. We will normally process your valid written Payment Dispute request within thirty (30) days of receipt, unless a shorter period is required by law. You can file a payment dispute by emailing it to Cross Referral Inc support at support @ cross referral.com. If you close or deactivate your Account before we judge your Payment Dispute, we will not be able to issue you any amount that we owe you. We will attempt to pay you any disputed payment amount owed to you using the method in which you made the disputed payment, but we cannot guarantee that we can do so if your payment method information is inaccurate, incomplete, or has been canceled.

If you fail to make the Market Payments due, or if Cross Referral Inc is unable to collect one of your payment methods for any reason, Cross Referral Inc reserves all rights permitted by law to recover payment and all costs and expenses incurred, including reasonable attorney fees, in our search for payment. You explicitly agree that all communications related to delinquent

accounts or overdue payments will be made by email or phone. Such communication may be made by Cross Referral Inc or by any person on your behalf, including but not limited to an external collection agent.

CROSS REFERRAL INC PROMOTIONS

You may receive certain Cross Referral Inc offers (“Promotions"), including, but not limited to, discounted or free use of the Platform for a limited period. All promotions are offered at the discretion of Cross Referral Inc and may be revoked at any time and for any reason.

You are only eligible for the benefits described in the Promotion if (a) you received a communication directly from Cross Referral Inc offering you that Promotion, (b) you meet all the requirements identified in that communication; and (c) maintains an up-to-date account with Cross Referral Inc. We may condition the receipt of a benefit described in a Promotion in any way we deem appropriate, including limiting eligibility to a subset of Members, to specific categories or to certain dates. . To be eligible for a benefit described in a Promotion, you may need to take a specific action (including but not limited to subscribing to a service) or make a payment for specific services.

You will be informed of the benefits of participating in the Promotion, the requirements to accept the offer and any other conditions to receive any benefit described in the Promotion. Once a promotion ends, regardless of whether you have already met the requirements, you will not be eligible to receive those benefits. Notwithstanding anything to the contrary, Cross Referral Inc may revoke a benefit if we believe that you have not complied with the requirements of the Promotion, including maintaining an up-to-date Account.

FEEDBACK

By submitting any comments, questions or suggestions about Cross Referral Inc or our services, including the Platform (collectively, “Comments"), you represent and warrant (a) that you have the right to disclose the Comments, (b) that the Comments do not violate the rights of any other person or entity, and (c) that your comments do not contain the confidential or proprietary information of any third party or third parties. By sending us any comment, you (I) agree that we have no obligation of confidentiality, express or implied, regarding the comment, (II) acknowledge that we may have something similar to the comment already under consideration or in development, (III) grant us an irrevocable, non-exclusive, royalty-free, perpetual and worldwide license to use, modify, prepare derivative works, publish, distribute and sublicense the Comments, and (IV) irrevocably waive and cause to be waived, against Cross Referral Inc and its users. , any claim and affirmation of any moral right contained in said Comments. COPYRIGHT POLICY

BACKLESS

Cross Referral Inc does not endorse any Member, user or Pro Services, and Cross Referral Inc is not a party to any agreement between users, Members or third parties. No agency, partnership, joint venture or employment is created as a result of the Terms or the use of any user or Member of any part of the Platform, including but not limited to programming or other services. Neither Cross Referral Inc nor any of the Members or users of the Platform can direct or control the daily activities of the other, nor create or assume any obligation on behalf of the other. These Terms require members to provide accurate information, and although Cross Referral Inc may carry out additional checks and processes designed to help verify or verify the identities or backgrounds of users, we make no representation, confirmation or endorsement of any user or their alleged identity or background, regardless of the specific Cross Referral Inc services they are using or any participation of Cross Referral Inc personnel in the provision or programming of said services.

Any reference on the Platform to a user who is licensed or credentialed in any way, or designations of “badge", “best of", “superior", “background check" (or similar language) indicates only that the user has completed a relevant account to process or meet user review standards, and does not represent anything else. Said description is not an endorsement, certification or guarantee of Cross Referral Inc and is not a verification of their identity and whether they or their Pro Services are authorized, insured, reliable, safe or adequate. Instead, said description is intended to be useful information for you to evaluate when making your own decisions about the identity and suitability of other people with whom you contact or interact through the Platform. You should always exercise responsibility, due diligence and care when deciding if you want to interact with any other user. Cross Referral Inc offers a non-exhaustive list of safety tips to keep in mind when hiring a Service Member. Except as specifically described in the Cross Referral Inc Warranty and includes its exclusions and limitations, Cross Referral Inc is not responsible for any damages resulting from your interactions with other users.

The Collective Content may contain links to third party websites, offers or other events / activities that are not owned or controlled by Cross Referral Inc. We do not endorse or assume any responsibility for such links, and if you access them, you do so under your control. own risk.

By using the Platform, you understand and agree that any legal recourse or liability you seek to obtain for the actions or omissions of other users or other third parties will be limited to a claim against those particular users or other third parties. You agree not to attempt to impose liability or seek any legal remedy from Cross Referral Inc with respect to such actions or omissions.

PENALTIES FOR VIOLATIONS OF THESE TERMS

Without limiting any other rights reserved in this document, Cross Referral Inc may, in its sole discretion, take any action permitted by law for any violation of these Terms or any other policy or agreement between you and Cross Referral Inc, including, among others , the deletion of the User Content that you published, limit access to your Account, cancel your Account, notify other Members about the termination of your Account and / or the violation of these Terms,

decrease your status or search range, cancel quotes or publications, block access, investigate it, and / or cooperate with law enforcement agencies in the investigation or prosecution.

SUSPENSION OR TERMINATION OF ACCOUNT

We may, at our discretion, with or without cause, with or without notice and at any time, decide to limit, block, suspend, deactivate or cancel your Cross Referral account in whole or in part. If we exercise our discretion under these Terms to do so, any or all of the following may occur with or without notice or explanation to you: (a) your account will be deactivated or suspended, your password will be deactivated, and you will not be able to access the Platform or your User Content, or receive assistance from Cross Referral support teams; (b) if applicable, in our sole discretion, we may communicate to other users that your Account has been terminated, blocked, suspended, deactivated, canceled or otherwise penalized, and why this action has been taken; and (c) will not be entitled to any compensation for the Platform services or Pro Services canceled or delayed as a result of the termination of the Account. You can cancel your use of the Platform and / or cancel your Account at any time by following the “Settings" link in your profile, clicking on “Account" and clicking on “Deactivate account". Please note that if your Account is terminated, we have no obligation to remove or return to you the Content you have posted on the Platform, including but not limited to revisions.

DISCLAIMER OF ARBITRATION AND CLASS ACTION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A CLAIM WITH THE COURT.

You and Cross Referral Inc agree that these Terms affect interstate commerce and that the Federal Arbitration Act governs the interpretation and enforcement of these arbitration provisions.

This Section is intended to be interpreted broadly and governs each and every dispute between us, including, but not limited to, claims arising from any aspect of the relationship between us, whether by contract, tort, statute, fraud , misrepresentation or any other legal theory; claims that arose before this Agreement or any other prior agreement (including without limitation advertising related claims); and claims that may arise after the termination of this Agreement. The only disputes excluded from this broad prohibition are litigation of certain intellectual property and claims of minor courts, as set forth below.

By accepting these Terms, you agree to resolve any dispute with Cross Referral Inc as follows:

Initial Dispute Resolution: Most disputes can be resolved without resorting to litigation. You can contact the Cross Referral support department. Except for intellectual property and small claims lawsuits, the parties agree to do their best to resolve any dispute, claim, question or disagreement directly through consultations with the Cross Referral support department, and good faith negotiations they will be a condition for either party to initiate a lawsuit or arbitration.

Binding arbitration: If the parties do not reach an agreed solution within thirty (30) days from the time informal dispute resolution is initiated under the previous Initial Dispute Resolution provision, then either party may initiate binding arbitration as the only means to resolve claims, subject to the terms set forth below. Specifically, all claims arising out of or related to these Terms or prior versions of these Terms (including training, performance, and non-compliance with the Terms or the Privacy Policy), the relationship of the parties to each other, and / or Your use of the Platform will ultimately be resolved through binding arbitration.

Exception: Intellectual Property Litigation and Small Claims Court Claims: Notwithstanding the parties’ decision to resolve all disputes through arbitration, either party may file coercive actions, validity determinations, or claims that arise or are related to the theft, piracy or unauthorized use of intellectual property in state or federal court or in the US Patent and Trademark Office. USA to protect your intellectual property rights (“intellectual property rights" means patents, copyrights, moral rights, trademarks and trade secrets, but not privacy or publicity rights). Either party may also seek relief in a small claims court for disputes or claims within the scope of that court’s jurisdiction.

Changes to this section: Cross Referral will notify you thirty (30) days in advance of any change that affects the content of this section of Exemption from arbitration and class action by publishing it on the Cross Referral Terms of Use website, sending you a message or notifying you when they are connected to your account. The amendments will become effective thirty (30) days after they are posted on the Cross Referral Terms of Use website or are sent to you.

Third Party Beneficiary: You and Cross Referral acknowledge that any third party consumer reporting agency that Cross Referral uses to perform background checks on service members is an express and intended third party beneficiary of this arbitration provision and, as such, the terms of this arbitration provision will be effective for the benefit of consumer reporting agencies and can be applied by them. Accordingly, you agree that any dispute arising between you and a consumer reporting agency relating to or arising from this Agreement or any aspect of your relationship with Cross Referral will be resolved through binding arbitration. If any court or arbitrator determines that this subsection of third party beneficiaries is void or unenforceable for any reason, then this subsection will be separated from the section entitled “Exemption from arbitration and class action," and the rest of the section will remain enforceable. which means that the waiver of the class action lawsuit and the mutual obligation to resolve disputes between you and Cross Referral through binding arbitration remains enforceable.

LIMITATION OF LIABILITY

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL RISK ARISING FROM YOUR ACCESS AND USE OF THE PLATFORM AND THE COLLECTIVE CONTENT, YOUR OFFERING OR PROVIDING PRO SERVICES OR REQUESTING OR RECEIVING PRO SERVICES THROUGH THE PLATFORM AND ANY CONTACT YOU HAVE WITH OTHER CROSS REFERRAL USERS OR THIRD PARTIES, WHETHER PERSONAL OR ONLINE, REMAINS WITH YOU. NO PARTICIPATION NOR ANY OTHER PARTY INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE PLATFORM WILL BE LIABLE (BASED ON WARRANTY, CONTRACT, (INCLUDING

NEGLIGENCE), LIABILITY OF THE PRODUCT, OR ANY OTHER LEGAL POSSIBILITY, AND WHAT IS POSSIBLE. SUCH DAMAGE, EVEN IF A LIMITED RESOURCE ESTABLISHED HEREIN IS FOUND FOR FAILING TO FULFILL ITS ESSENTIAL PURPOSE) BY: (A) ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, OR LOSS OF LOSS; (B) SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE; (C) THE COST OF THE SUBSTITUTE PRODUCTS OR SERVICES; (D) ANY DAMAGES FOR PERSONAL OR CORPORAL INJURY OR EMOTIONAL DISTRESS ARISING IN OR IN CONNECTION WITH THESE TERMS; (E) THE USE OR THE INABILITY TO USE THE PLATFORM, THE PRO SERVICES OR THE COLLECTIVE CONTENT; (F) ANY COMMUNICATION, INTERACTION OR MEETING WITH OTHER USERS OF THE PLATFORM OR OTHER PERSONS WITH WHICH THEY COMMUNICATE OR INTERACT WITH AS A RESULT OF YOUR USE OF THE PLATFORM; OR (G) OFFERS OR PROVIDES PRO SERVICES OR REQUESTS OR RECEIVES PRO SERVICES THROUGH THE PLATFORM.

INDEMNIFICATION AND RELEASE

You agree to release, defend, indemnify and hold Cross Referral and its affiliates and subsidiaries, and their respective officers, directors, employees and agents, harmless from any claims, liability, damages, losses and expenses, including, but not limited to, legally reasonable and accounting fees, arising out of or related in any way to (a) your violation of these Terms; (b) your User Content; (c) your interaction with any member or user; and (d) your request, receipt, offer or provision of Pro Services, including, but not limited to, any injury, loss or damage (compensatory, direct, incidental, consequential or otherwise) arising in connection with said Pro Services.

—-Contacting you: You agree that Cross Referral may provide you with notices, including those related to changes to the Terms, by email, regular mail or posting on the Platform. With your consent, Cross Referral, Customer Members, Service Members or others may also contact you by phone or text message. If you have agreed to receive text messages or phone calls from Cross Referral, Customer Members, Service Members, or others, you also agree to the use of an electronic record to document your agreement. You can withdraw your consent to use the electronic record by sending an email to crossreferralinc.com with “Revoke electronic consent" in the subject line. To view and retain a copy of this disclosure or any information related to your enrollment in this program, you will need (a) a device (such as a computer or mobile phone) with a web browser and Internet access; and (b) a printer or storage space on said device. Entire Agreement: These Terms, together with the Privacy Policy and any other legal notice or additional terms and conditions or policies published by Cross Referral on the Platform, will constitute the complete agreement between you and Cross Referral regarding the Platform or Pro Services. obtained through the Platform. Except as explicitly stated in this document, if any provision of the Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of the Terms, which will remain in full force and effect.

Disclaimer: No waiver of any provision of these Terms shall be deemed an additional or continuing waiver of such term or any other term, and the failure of Cross Referral to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Statute of Limitations: You agree that, regardless of any statute or law to the contrary, any claim arising from or related to the Platform or the Pro Services offered therein must begin within one (1) year after the occurrence of the cause of action. Otherwise, said cause of action is permanently prohibited. Notwithstanding the foregoing, this statute of limitations does not apply to residents of New Jersey.
